The terms of our handshake.
What you can expect from us, what we expect from you, and what happens when things go sideways.

The rules of engagement.
What we commit to, what we expect, and how we settle disagreements, no fine print traps.
Using our services means agreeing
By accessing or using the Dabster Labs website and services, you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use our services. These Terms, together with any signed Statement of Work (“SOW”) and our Data Processing Agreement, form the entire agreement between you and Dabster Labs.
02, ServicesWhat we actually do
Dabster Labs provides AI automation workflow design, build, deployment, and managed support for SMBs. Services are delivered under a signed SOW with fixed scope and pricing, always agreed before work begins. Anything not in the SOW is out of scope and may be quoted separately.
03, The Free DemoTrying the AI assistant
Our website offers a free demonstration of our AI voice assistant. You can reveal a phone number and call it, ask the assistant to call you back, or speak to the assistant in your browser. This section governs that use. It applies to anyone who tries the demo, whether or not you ever become a client.
- It is a demonstration, not a service. The demo is provided free of charge, for evaluation only, and is not for commercial or production use. It is provided as is and as available. We do not warrant that it will be uninterrupted, accurate, complete or error free, and we may change, limit or withdraw it at any time without notice.
- You are talking to an AI. The assistant tells you it is an AI system at the start of every interaction, as Article 50 of the EU AI Act requires. Its answers are generated automatically. They are not professional, legal, medical or financial advice, and nothing it says is a quotation, a commitment or a binding offer from Dabster Labs. Only a written proposal signed by us is binding.
- Never use it in an emergency. The demo is not a telephony service and must never be used to contact emergency services or any organisation providing a vital service relating to the safety of life. In an emergency, always use an ordinary telephone and dial 112, or the relevant national emergency number.
- Do not put other people’s data into it. Speak or type only your own information. Do not provide personal data about any other living person unless you have their consent, and do not put a third party on the line without telling them first.
- Do not share sensitive data. Do not provide special category data under Article 9 of the GDPR, such as health, biometric, religious or political data, and do not provide payment card numbers, passwords, or government identity numbers. The demo is not designed to receive them.
- Recording. Demo calls to our number are not voice recorded. A written transcript and a short summary are processed so the assistant can hold the conversation and follow up. If this ever changes you will be told at the start of the call and recording will only take place with your consent. What we process, for how long, and how to have it deleted is set out in our Privacy Policy.
- Fair use. Do not use the demo to abuse, harass or mislead, to test or attack our systems, to place automated or bulk calls, or to resell or benchmark the service commercially. We may block a number or withdraw access where use is abusive or automated.
- Call charges. Calling our demo number is a normal call on your own telephone service and your provider’s charges apply. We do not charge you for the demo.
- No automated decisions about you. The assistant does not take decisions producing legal or similarly significant effects concerning you within the meaning of Article 22 of the GDPR.
If you become a client, the demo terms stop applying to your production system, which is governed by your signed Statement of Work, these Terms and our Data Processing Agreement.
04, Acceptable UseWhat you can’t do
You agree not to use our services to:
- Process data unlawfully or in violation of GDPR, including without a valid legal basis or beyond what your privacy notices to Data Subjects allow.
- Send unsolicited bulk communications, spam, or phishing.
- Automate activity that violates third-party terms of service (e.g. scraping platforms in breach of their rules).
- Attempt to reverse-engineer, copy, or extract our methodologies, frameworks, or non-client-specific components.
- Process data of children under 16 without verified parental consent.
- Use our services to discriminate, harass, or harm any person or group.
How we get paid
- Design and implementation fees are invoiced upon SOW signature and due before work begins.
- Monthly retainers are invoiced on the 1st of each month and due within 14 days.
- All prices are in EUR and exclude VAT where applicable.
- Late payments accrue interest at 4% above the European Central Bank base rate from the due date.
- If an invoice is more than 30 days overdue, we may suspend services until paid in full. Suspension does not pause retainer billing.
- Reasonable collection costs (legal fees, collection agency charges) are payable by the client if recovery action is required.
All fees are non-refundable except where this document explicitly states otherwise.
06, Intellectual PropertyWho owns what
Client deliverables. Upon full payment of all fees due, the client owns the custom workflow configurations, automation scripts, and documentation built specifically for them under the SOW (“Deliverables”). The client is free to run these Deliverables themselves or with another vendor after the engagement ends.
Dabster Labs IP. We retain all rights to general methodologies, frameworks, reusable code modules, internal tooling, and non-client-specific components, including any improvements made during your engagement. We may reuse these freely across other engagements.
Third-party software. Deliverables may rely on third-party platforms (for example workflow engines, speech technology providers, hosting infrastructure). Client is responsible for maintaining their own subscriptions and license compliance with those providers after the engagement ends.
Client materials. The client retains all rights to data, content, branding, and proprietary information they provide to us. We use it only to deliver the SOW.
07, AI-Specific DisclaimersHow AI actually works
Our automations may use AI models (large language models, voice AI, classification models). Clients acknowledge:
- AI output is not guaranteed to be accurate, complete, or appropriate in all cases. AI models can produce errors, hallucinations, or biased output.
- Client is responsible for reviewing AI-generated content before acting on it, sending it to customers, or using it for any decision with legal, financial, or safety consequences.
- Dabster Labs is not liable for losses arising from client’s reliance on uninspected AI output.
- Client is solely responsible for ensuring AI-assisted communications comply with applicable law (advertising rules, professional regulations, financial advice rules, medical advice rules, etc.).
- AI providers may update or deprecate models without notice. We will adapt automations on a reasonable-effort basis but cannot guarantee perpetual functionality.
Where required by applicable law (e.g. EU AI Act), client agrees to inform end-users that they are interacting with an AI system.
08, Service Levels & AvailabilityWhat we commit to
Support response. During the retainer engagement, we respond to support requests within one business day (Mon-Fri, Cyprus business hours). Critical issues affecting production are addressed on a best-effort basis as quickly as practical.
Availability. Our services depend on third-party infrastructure (hosting, AI providers, integration platforms). We do not commit to a specific uptime percentage. We use reputable EU-based providers and maintain reasonable redundancy where practical.
Maintenance. We may perform scheduled maintenance with reasonable advance notice. Emergency maintenance may occur without notice when required for security or stability.
09, ConfidentialityWhat stays between us
Both parties agree to keep confidential any proprietary or non-public information shared during the engagement, and to use it solely for the purposes of the engagement. This obligation survives termination of the agreement for 3 years. Confidentiality does not apply to information that is or becomes public through no fault of the receiving party, was already known prior to disclosure, or must be disclosed by law.
10, Warranties & DisclaimersWhat we do and don’t promise
We warrant that we will perform the services with reasonable skill and care consistent with industry standards.
Except as expressly stated in these Terms, our services are provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
11, Limitation of LiabilityIf something goes wrong
Dabster Labs’ total aggregate liability under or in connection with any engagement, however arising (including in contract, tort, negligence, or otherwise), shall not exceed the total fees paid by the client to Dabster Labs in the 12 months preceding the event giving rise to the claim.
We are not liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, lost revenue, lost business opportunity, or lost or corrupted data, even if we were advised of the possibility of such damages.
Nothing in these Terms excludes liability that cannot be excluded under applicable law (e.g. liability for fraud, willful misconduct, gross negligence, or death or personal injury caused by negligence).
12, IndemnificationWho covers third-party claims
The client agrees to indemnify and hold Dabster Labs harmless from any third-party claims, losses, or expenses (including reasonable legal fees) arising from: (a) client’s breach of these Terms; (b) client’s misuse of our services; (c) data the client provides that infringes third-party rights or violates law (including GDPR); or (d) client’s use of AI-generated output without appropriate review.
13, Force MajeureEvents beyond our control
Neither party is liable for failure or delay in performance caused by events beyond reasonable control, including: third-party infrastructure outages (hosting, AI providers, integration platforms), internet routing failures, denial-of-service attacks, government action, natural disasters, pandemics, war, or strikes affecting third-party providers. The affected party will notify the other and resume performance as soon as practical.
14, TerminationEnding an engagement
Either party may terminate a retainer engagement with 30 days written notice. Design and implementation fees are non-refundable. Retainer fees are prorated to the termination date.
We may suspend or terminate services immediately if: client fails to pay within 30 days of due date and does not cure within 7 days of written notice; client materially breaches these Terms; or client uses our services in violation of section 04 (Acceptable Use).
On termination, our data return / deletion obligations are governed by our Data Processing Agreement.
15, Governing LawWhich laws apply
These Terms are governed by the laws of the Republic of Cyprus, without regard to conflict-of-law principles. The parties first attempt to resolve disputes in good faith. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of Nicosia, Cyprus.
16, GeneralThe small print
Severability. If any provision of these Terms is held unenforceable, the rest remains in full effect.
No waiver. Failure to enforce any provision is not a waiver of the right to enforce it later.
Assignment. The client may not assign or transfer these Terms without our written consent. We may assign to a successor in connection with a merger, acquisition, or sale of substantially all assets.
Notices. Notices under these Terms must be sent in writing to the email addresses on the SOW or to info@dabsterlabs-ai.cy.
Updates. We may update these Terms from time to time. Material changes will be notified by email at least 30 days before taking effect for active clients. The “Last updated” date at the top reflects the most recent revision.
